1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the LoanDesk AI platform, website, dashboard, borrower portal, and related services (collectively, the “Services”) operated by FeltSense App Founders LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Description of Services
LoanDesk AI provides an AI-powered mortgage lending platform that includes:
- An AI loan assistant (“Morty”) that assists with borrower pre-qualification, rate comparisons, and document management.
- A loan officer dashboard for pipeline and borrower management.
- A borrower portal for application tracking, document submission, and rate exploration.
The Services are tools to assist licensed mortgage professionals and their borrowers. The Services do not constitute a mortgage lender, broker, or financial institution.
3. Eligibility and Account Responsibilities
You must be at least 18 years old to use the Services. Loan officer accounts are intended for individuals who hold a valid NMLS license or work under a licensed entity. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4. Loan Officer Responsibilities
As a loan officer using the Services, you agree to:
- Maintain all required federal and state licenses (including NMLS registration) for mortgage lending activities.
- Comply with all applicable laws and regulations, including the Truth in Lending Act (TILA), Real Estate Settlement Procedures Act (RESPA), Equal Credit Opportunity Act (ECOA), Fair Housing Act, and state-specific mortgage lending laws.
- Verify all AI-generated pre-qualifications, rate estimates, and recommendations before presenting them to borrowers or making lending decisions.
- Not rely solely on AI outputs for underwriting or lending decisions.
- Maintain appropriate data security practices for borrower information accessed through the platform.
5. Borrower Acknowledgments
As a borrower using the Services, you acknowledge that:
- Pre-qualification estimates provided through the platform are preliminary and do not constitute a loan commitment, approval, or offer.
- Rate comparisons are estimates based on the information provided and are subject to change based on market conditions and full underwriting.
- All final lending decisions are made by licensed loan officers and their institutions, not by the AI assistant.
- You are responsible for the accuracy of information you provide through the platform.
6. AI Assistant Disclaimer
Morty, our AI loan assistant, provides informational assistance only. Morty is not a licensed loan officer, mortgage broker, or financial advisor. Outputs generated by Morty, including pre-qualification estimates, rate comparisons, and document analysis results:
- Are for informational purposes only.
- Do not constitute financial advice, loan offers, or binding commitments.
- May contain errors or inaccuracies.
- Should be verified by a licensed professional before reliance.
7. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
- Submit false, misleading, or fraudulent information through the platform.
- Attempt to gain unauthorized access to the Services, other accounts, or our systems.
- Use automated systems (bots, scrapers) to access the Services without prior written permission.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or disassemble any aspect of the Services.
8. Fees and Payment
Loan officers subscribe to the Services under the applicable pricing plan (Solo, Team, or Enterprise). Fees are billed monthly and are non-refundable except as required by law. We reserve the right to change pricing with 30 days’ notice. The borrower portal is included at no additional cost with every loan officer plan.
9. Intellectual Property
All content, software, technology, designs, and trademarks associated with the Services are owned by or licensed to FeltSense App Founders LLC. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term. You may not copy, modify, distribute, or create derivative works from the Services.
10. Data Ownership
You retain ownership of all data you submit to the Services. By using the Services, you grant us a limited license to process your data as necessary to provide the Services, including AI-assisted analysis. We will not use your borrower data to train AI models without your explicit consent.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or violation of any applicable laws or regulations, including mortgage lending laws.
13. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. You may cancel your subscription at any time. Upon termination, your right to use the Services ceases, and we may delete your data after a reasonable retention period, subject to legal record-keeping requirements.
14. Dispute Resolution
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in the State of Delaware. You waive the right to participate in class action lawsuits or class-wide arbitration.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Federal mortgage lending laws apply to the extent they govern the activities facilitated by the Services.
16. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Services or via email at least 30 days before they take effect. Continued use after changes constitutes acceptance.
